UAE Trademark Assignment vs Trademark Licensing: Understanding the Difference

A trademark can be one of a business’s most valuable assets, but the legal effect changes significantly depending on whether the mark is assigned or licensed. In the UAE, the distinction affects ownership, control and the rights each party keeps after the agreement is signed.
A trademark assignment transfers ownership from the current owner to another party. Once the transfer is completed, the assignee becomes the new owner of the trademark and controls its future use, enforcement and commercial value. Assignments may arise during a business sale, restructuring, merger or transfer between related companies.
A trademark licence works differently. Ownership remains with the original proprietor, while another party receives permission to use the mark under agreed conditions. The licence can specify territory, duration, permitted products or services, quality standards, royalties and termination rights.
For brand owners, the choice depends on the commercial objective. Assignment may suit a permanent transfer, while licensing allows the owner to retain control and generate value through authorised use.
Documentation should clearly state what rights are being transferred or granted. Poorly drafted arrangements can create uncertainty over ownership, enforcement and future use, especially when trademarks are central to a franchise, distribution agreement or wider commercial relationship.
