Faraday Future Pivots to Robotaxi in $200M Robotics Deal

Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) is making a major robotaxi pivot, restructuring itself from an EV manufacturer into a robotaxi and embodied-AI (EAI) cabin technology operator, and a physical AI investment holding company. As part of the shift, the Los Angeles-based company has signed a non-binding term sheet to combine its robotics business with AIxCrypto Holdings (AIxC) at a valuation of roughly $200 million.
A Standalone Robotics Listing
Under the proposed deal, AIxC would acquire and consolidate Faraday Future's robotics assets, aiming to become the first Nasdaq-listed pure-play robotics ecosystem company built on a "Four-Core Full-Stack" AI platform. The combined entity would be renamed FF EAI Robotics Ecosystem Inc. and trade under the new ticker FFR. Faraday Future would retain a majority ownership stake and receive AIxC common stock and non-voting convertible preferred stock rather than cash. The proposal also includes an 18-month share lock-up.
Three-Pronged Automotive Strategy
Faraday Future says its automotive business will evolve across three areas: entering robotaxi operations with potential ties to Tesla's Cybercab network, extending its EAI cabin technology to other intelligent vehicles, and connecting FF's own vehicles to robotaxi networks. The company frames this as part of its broader "Four Future Trends" strategy.
The Numbers Behind the Robotics Unit
The robotics business is still small: cumulative revenue through the second quarter reached about $1.52 million, with 552 units shipped and an average gross margin above 30% on its Four-Core Full-Stack AI products. Under preliminary projections, the unit isn't expected to reach positive operating cash flow until the third quarter of 2028. A Special Committee of Faraday Future's board, independent of the deal's conflicts, has been formed to review and negotiate the terms before any board authorization.
Why the Restructuring Matters
Executives say spinning off the robotics business into a standalone platform could reduce Faraday Future's reliance on dilutive financing and cut potential equity dilution for existing shareholders. The company has also flagged a possible special stock dividend tied to the transaction. The deal remains non-binding and subject to definitive agreements, and market reaction so far has been cautious given the robotics unit's limited revenue relative to the deal's $200 million valuation.
